1. About these Terms
1.1 These Terms & Conditions apply to services supplied by A & F Solutions Ltd (“A&F Solutions”, “we”, “us” or “our”).
1.2 They apply together with any quotation, estimate, proposal, work order, service agreement, maintenance agreement, invoice or other written terms issued by us.
1.3 If there is a conflict between these Terms and a specifically agreed written quotation or contract, the specifically agreed written terms will take priority to the extent of that conflict.
1.4 Nothing in these Terms excludes or restricts rights or remedies that cannot lawfully be excluded, including statutory consumer rights.
2. Our Services
2.1 Depending on the agreed scope, our services may include installation, commissioning, servicing, inspection, maintenance, testing, fault finding, repair, replacement and upgrades relating to:
- Fire alarm and detection systems.
- Emergency lighting.
- Fire extinguishers.
- Nurse call and associated call systems.
- CCTV.
- Intruder alarm systems.
- Door access and door-entry systems.
- Electromagnetic locking and associated safety interfaces.
- Fire-door surveys and inspections.
- Associated cabling, power supplies, interfaces and controls.
- Monitoring connections and related equipment where agreed.
- Associated fire, security and life-safety equipment.
2.2 Only work expressly included in the agreed scope is included in our contract.
2.3 Attendance at a property does not automatically mean that every fire, security, electrical or safety system at the premises has been inspected.
3. Estimates and Online Estimates
3.1 Any estimate provided through our website is an indicative estimate only and is not a fixed quotation.
3.2 Our online estimating system may take account of information including equipment selected, quantities, estimated labour, travel, mileage, callout costs, known material prices, type of installation or repair, customer-provided descriptions and customer-provided photographs.
3.3 Unless otherwise stated, our website may display an estimated range calculated at approximately 10% below to 20% above the calculated base estimate.
3.4 This range exists because the actual cost may be affected by site conditions, access, equipment compatibility, hidden faults, cabling routes, labour requirements, manufacturer availability and other factors which cannot necessarily be established online.
3.5 An online estimate does not:
- Guarantee a final price.
- Reserve an appointment.
- Constitute acceptance of a job.
- Guarantee material availability.
- Guarantee that the customer's diagnosis is correct.
- Confirm that the work is technically possible.
- Create a contract requiring us to perform the work.
3.6 Custom or unlisted equipment may require manual review before a price can be confirmed.
4. Formal Quotations
4.1 A formal quotation will identify, as reasonably practicable, the work and equipment included.
4.2 Unless stated otherwise, quotations are normally valid for 30 days.
4.3 Prices may be reviewed after the validity period has expired.
4.4 A quotation is based on information reasonably available when it is prepared.
4.5 We may revise a quotation if previously unknown circumstances materially affect the work.
4.6 Unless expressly included, quotations do not normally include:
- Building or structural works.
- Extensive decoration or making good.
- Asbestos removal.
- Specialist access equipment.
- Scaffolding.
- Builder's work.
- Network or IT infrastructure supplied by third parties.
- Upgrades necessary to rectify unrelated existing defects.
- Work required because supplied information was inaccurate.
5. Formation of Contract
5.1 A contract is formed when we accept a customer's instruction to proceed and the relevant scope, price and commercial arrangements have been agreed.
5.2 Payment of a required deposit may be a condition of accepting a booking.
5.3 No person other than an authorised representative of A&F Solutions may vary our quotation or these Terms on our behalf.
6. Prices
6.1 Prices will be those set out in the relevant quotation, estimate, service agreement or other written agreement.
6.2 Where work is charged on a time-and-materials basis, labour, materials, travel and other approved costs will be charged according to the applicable rates.
6.3 Our current standard on-site labour rate used for estimating purposes is £45 per hour, unless another rate has been quoted.
6.4 Different rates may apply to emergency, out-of-hours, specialist or contract work.
6.5 VAT will be added where legally applicable.
7. Travel and Mileage
7.1 Unless another arrangement is quoted, our current estimating methodology is:
- Travel time charged at £20 per chargeable hour.
- Chargeable travel time calculated as approximately half the total return driving time.
- Minimum travel-time charge equivalent to one hour.
- Mileage charged at £0.35 per mile based on the relevant return journey.
7.2 Parking, tolls, congestion charges, ferries, accommodation and other exceptional travel expenses may be charged where reasonably incurred and agreed or notified.
7.3 The terms of a formal quotation take priority over these standard estimating assumptions.
8. Deposits and Stage Payments
8.1 Smaller service visits, repairs and routine maintenance will normally be invoiced after completion unless otherwise agreed.
8.2 Larger installations, upgrades or projects may require staged payments.
8.3 Our normal staged arrangement for substantial projects is:
- 25% deposit before commencement.
- 25% following completion of the agreed first-fix stage.
- 50% following completion of the agreed second-fix stage and completion of the project.
8.4 The first-fix stage payment must be received in cleared funds before second-fix work commences, unless we expressly agree otherwise in writing.
8.5 The final 50% payment will normally be invoiced upon completion and will be due within 30 calendar days, unless another period is agreed.
8.6 Project-specific payment schedules may supersede this standard arrangement.
9. Standard Invoice Terms
9.1 Unless otherwise agreed, our normal payment period is 30 calendar days from the invoice date.
9.2 Customers must raise any genuine invoice dispute promptly and provide reasonable details.
9.3 An undisputed portion of an invoice should not be withheld solely because another portion is disputed.
10. Late Commercial Payments
10.1 Where a qualifying business customer fails to pay an invoice by its due date, we reserve the right to exercise any statutory or contractual rights available to us.
10.2 This may include statutory interest and applicable debt-recovery compensation or reasonable recovery costs.
10.3 We may suspend further non-essential work where invoices or required stage payments remain overdue.
11. Variations and Additional Work
11.1 Work outside the agreed scope constitutes additional work.
11.2 Where reasonably practicable, we will explain additional work and obtain authorisation before proceeding.
11.3 Additional work may arise from matters including:
- Previously concealed faults.
- Damaged cabling.
- Failed power supplies.
- Incorrect previous installation.
- Incompatible equipment.
- Obsolete equipment.
- Additional customer requirements.
- Building alterations.
- Lack of existing documentation.
- Unexpected access difficulties.
11.4 Variations may affect both price and completion times.
12. Customer Responsibilities
12.1 The customer must provide suitable and timely access to the site and equipment.
12.2 The customer must provide accurate information reasonably required for the work.
12.3 Relevant information may include:
- Existing drawings.
- Zone charts.
- System documentation.
- Previous service records.
- Fire-risk information.
- Known faults.
- Known building hazards.
- Asbestos information.
- Permit requirements.
- Access restrictions.
- Evacuation arrangements.
- Site-security requirements.
12.4 The customer must ensure that we are authorised to work on the relevant equipment and premises.
13. Safe Working Environment
13.1 We reserve the right to refuse, stop, postpone or alter work if we reasonably believe that conditions are unsafe.
13.2 This may include risks involving:
- Unsafe electrical systems.
- Unsafe ladders or access equipment.
- Structural instability.
- Suspected asbestos.
- Violence or aggression.
- Uncontrolled animals.
- Unsafe residents or visitors.
- Hazardous substances.
- Inadequate lighting.
- Fire or explosion risks.
- Restricted escape routes.
- Unsafe environmental conditions.
13.3 Any resulting return visit or additional equipment may be chargeable where the unsafe condition was outside our responsibility.
14. Risk Assessments and Method Statements
14.1 Where appropriate, work will be subject to suitable risk assessment and safe working arrangements.
14.2 Project-specific Risk Assessments and Method Statements (“RAMS”) may be provided where reasonably necessary or contractually required.
14.3 Site-specific risks remain subject to assessment on arrival and throughout the work.
15. Working at Height
15.1 Some installation, inspection and servicing activities require work at height.
15.2 Work at height will only be undertaken where suitable access can reasonably be provided and the work can be carried out safely.
15.3 Appropriate access equipment may include suitable ladders, stepladders, towers, scaffolding or powered access equipment depending on the task.
15.4 Specialist access equipment not reasonably foreseeable when quoting may result in additional charges.
15.5 We will not undertake work from unsuitable furniture, makeshift platforms or other unsafe access arrangements.
16. Hot Works
16.1 Where work involves heat, flame, grinding, cutting, soldering or equipment capable of creating sparks or sufficient heat to cause ignition, suitable precautions must be implemented.
16.2 Hot-work permits may be required by a site.
16.3 Customers must inform us of any site-specific hot-work procedure before work starts.
16.4 We may postpone hot work where required precautions cannot be provided.
17. Electrical Isolation and Power Supplies
17.1 Work may require electrical equipment or circuits to be isolated.
17.2 Where practicable, the customer will be informed of significant planned disruption.
17.3 Systems may temporarily be unavailable during testing, repair, upgrade or commissioning.
17.4 We are not responsible for pre-existing electrical defects or defects outside our contracted scope.
18. Fire Alarm Systems
18.1 Fire-alarm work may require temporary isolation of detectors, sounders, loops, zones, outputs or monitoring equipment.
18.2 Responsibility for suitable temporary site fire precautions during an agreed isolation remains with the person responsible for the premises, except to the extent expressly agreed otherwise.
18.3 The customer must ensure relevant occupants or staff are informed of tests where appropriate.
18.4 We cannot guarantee that an existing system will be free from future faults simply because a particular fault has been repaired.
18.5 A service or repair does not certify unrelated parts of the system unless included in the agreed scope.
19. False Alarms and Monitoring
19.1 Testing may activate audible or visual warning equipment.
19.2 Where a monitored system is involved, monitoring arrangements may need to be placed on test or temporarily isolated.
19.3 The customer must disclose monitoring arrangements where they are known.
19.4 We cannot be responsible for callouts or action by emergency services resulting from undisclosed monitoring arrangements or customer/site failure to follow agreed testing procedures, except where caused by our negligence.
20. Third-Party Monitoring
20.1 Where monitoring is provided by an alarm receiving centre or other external monitoring provider, the monitoring service is subject to the availability and terms of the relevant provider.
20.2 Monitoring may depend upon telecommunications, internet connectivity, mobile networks, power supplies, customer-maintained equipment and third-party infrastructure.
20.3 We do not guarantee uninterrupted availability of networks or services outside our control.
21. Nurse Call Systems
21.1 Nurse-call systems may be safety-critical in care environments.
21.2 Where work requires any part of a nurse-call system to be disabled, the care provider is responsible for implementing appropriate temporary arrangements for resident care unless otherwise expressly agreed.
21.3 Staff should be informed of any relevant temporary limitation.
21.4 A repair to one call point, display, power supply or network component does not establish that every element of the system is fault-free.
22. Care Homes, Supported Living and Vulnerable Persons
22.1 Where work is carried out in care homes, supported living premises or other occupied care environments, the customer remains responsible for the care and supervision of residents.
22.2 Site management must inform us of relevant risks that could reasonably affect our engineers.
22.3 Such risks may include residents who may:
- Become distressed by alarms or noise.
- Enter active work areas.
- Interfere with tools or equipment.
- Display aggressive or unpredictable behaviour.
- Require additional supervision.
- Have mobility, sensory or cognitive impairments relevant to the work.
22.4 We do not require confidential clinical information unless it is necessary to enable safe working.
22.5 Where a resident requires supervision during our work, responsibility for providing that supervision remains with the care provider.
23. Safeguarding, Privacy and Dignity
23.1 Our personnel are expected to behave professionally and respect the privacy and dignity of residents, patients, staff and visitors.
23.2 Where work is required in occupied bedrooms or personal areas, reasonable arrangements should be made with site staff before entry.
23.3 Engineers should not be expected to undertake care duties or supervision outside their professional role.
24. Violence, Aggression and Harassment
24.1 We will not require our personnel to remain in circumstances involving threatening, abusive, discriminatory, intimidating or violent behaviour.
24.2 We may withdraw from the site where reasonably necessary for safety.
24.3 This applies to conduct by residents, staff, customers, visitors, contractors or other persons.
25. Infection-Control Requirements
25.1 Customers must inform us of material site-specific infection-control requirements before attendance where reasonably possible.
25.2 We will reasonably cooperate with legitimate access, hygiene and PPE requirements communicated by the site.
26. CCTV Systems
26.1 CCTV equipment does not guarantee prevention or detection of crime.
26.2 Camera performance can be affected by lighting, positioning, obstruction, network quality, storage, hardware failure and environmental conditions.
26.3 Unless we have specifically been appointed to advise on data-protection compliance, the customer remains responsible for determining the lawful operation of its CCTV system, including signage, retention and access arrangements.
27. Intruder Alarm and Security Systems
27.1 No security system can guarantee that burglary, intrusion, theft or damage will not occur.
27.2 Our obligation is to provide the contracted service with appropriate care and skill, not to insure the premises against loss.
27.3 Customers remain responsible for appropriate insurance and physical security arrangements.
28. Access-Control Systems
28.1 Access-control equipment may interact with fire-safety systems, door hardware, locks, power supplies and third-party equipment.
28.2 Customers must not alter life-safety interfaces without appropriate competent advice.
28.3 Where emergency-release arrangements are part of our agreed scope, they will be tested as appropriate to that scope.
29. Emergency Lighting
29.1 Emergency-lighting testing can require interruption of normal power or operation in test mode.
29.2 Failure identified during testing does not necessarily result from the test itself.
29.3 Defective batteries, luminaires, wiring or supplies may require separate remedial work.
30. Fire Extinguishers
30.1 Inspection, commissioning, supply and servicing will be limited to equipment included in the agreed scope.
30.2 Replacement may be recommended where equipment is damaged, obsolete, discharged, expired or otherwise unsuitable.
31. Fire Door Surveys
31.1 Fire-door surveys are generally based upon accessible and visible conditions at the time of inspection.
31.2 We may inspect matters such as door condition, frames, gaps, closers, hinges, intumescent and smoke seals, glazing, hardware, signage, obvious damage and available identification or certification information.
31.3 An inspection does not automatically amount to certification that a door or complete doorset achieves a particular fire-resistance rating.
31.4 Where original certification or construction cannot be verified, this limitation may be recorded.
31.5 Hidden construction elements cannot necessarily be confirmed during a non-destructive survey.
32. Existing and Legacy Systems
32.1 We frequently work on equipment installed by third parties.
32.2 We are not responsible for defects that existed before our work unless repairing those defects forms part of our agreed scope.
32.3 Existing systems may contain undocumented alterations, incorrect wiring, damaged cables, unsupported equipment, non-standard parts, obsolete components, previous non-compliant work or faults concealed until equipment is disturbed or tested.
32.4 Discovery of such issues may require additional work.
33. Obsolete or Unsupported Equipment
33.1 We cannot guarantee availability of obsolete or discontinued components.
33.2 Where a direct replacement cannot reasonably be sourced, an upgrade or system modification may be necessary.
33.3 Replacement with a newer product may require associated equipment to be changed for compatibility.
34. Customer-Supplied Equipment
34.1 We may agree to install equipment supplied by a customer.
34.2 Unless expressly agreed otherwise, we do not accept responsibility for product quality, suitability, compatibility, manufacturer warranty, missing components or incorrect specification.
34.3 Additional labour caused by unsuitable customer-supplied equipment may be chargeable.
35. Materials and Specialist Parts
35.1 Materials may be ordered specifically for a customer's work.
35.2 Special-order, bespoke, configured or non-returnable equipment may not be refundable if a customer later cancels, subject to applicable consumer law.
35.3 Manufacturer lead times may affect project programmes.
36. Fault Finding
36.1 Fault finding is investigative work and does not guarantee that a fault can be identified within a particular period.
36.2 Complex or intermittent faults may require more than one visit.
36.3 Replacement of a suspected faulty component does not guarantee that unrelated or additional faults do not exist.
37. Cabling and Concealed Conditions
37.1 We will take reasonable care when drilling, fixing or routing cables.
37.2 Customers should disclose known concealed services and provide relevant drawings where available.
37.3 Existing concealed defects or undocumented cables and services may affect the work.
38. Making Good
38.1 Unless specifically included, our work does not automatically include full decorative making good.
38.2 Minor penetrations, fixings, cable routes or access points may be necessary.
38.3 Specialist plastering, painting, joinery or building works may require another contractor.
39. Documentation and Certificates
39.1 Documents will be provided where required by the agreed work and applicable standards.
39.2 A certificate relates only to the work or system described in it.
39.3 It should not be interpreted as certifying unrelated systems or the entire building unless expressly stated.
40. Recommendations and Remedial Work
40.1 Service reports may identify recommendations or defects.
40.2 The customer is responsible for deciding whether and when to authorise recommended work, subject to its own legal duties.
40.3 Our identification of a defect does not automatically authorise us to correct it.
41. Completion
41.1 Work will be considered complete when the agreed scope has been substantially performed, subject to any minor outstanding items that do not materially prevent intended use.
41.2 Snagging items will be addressed within a reasonable period where they fall within our responsibility.
42. Delays
42.1 Dates given for attendance or completion are estimates unless expressly agreed to be fixed contractual deadlines.
42.2 We will not be responsible for reasonable delays arising from matters outside our control, including supplier delays, manufacturer shortages, traffic disruption, severe weather, site access problems, illness, third-party contractors, utility or network failures, unforeseen building conditions or emergency circumstances.
43. Emergency and Out-of-Hours Attendance
43.1 Emergency attendance depends on engineer availability, location, access and the nature of the fault.
43.2 Nothing on our website should be interpreted as guaranteeing a particular emergency response time unless expressly agreed under a service contract.
43.3 Out-of-hours rates may differ from standard rates.
44. Subcontractors and Additional Engineers
44.1 We may use suitably competent employees, subcontractors or specialist providers to perform parts of the agreed work where appropriate.
44.2 We remain responsible for our contractual obligations subject to the agreed arrangements and applicable law.
45. Insurance
45.1 A&F Solutions will maintain insurance appropriate to its operations as required by law and our business arrangements.
45.2 Customers remain responsible for maintaining appropriate insurance for their buildings, contents, business interruption, security risks and other property-related risks.
45.3 No statement in these Terms should be interpreted as extending our liability beyond that imposed by law or expressly accepted under the contract.
45.4 Details of applicable insurance may be provided where legitimately required for a project.
45.5 Specific statements concerning public liability, employers' liability, professional indemnity, products liability, vehicle cover, hot works, work at height or other insured activities must not be made unless confirmed by the applicable policy wording.
46. Warranties
46.1 Manufacturer warranties apply subject to the manufacturer's terms.
46.2 Any workmanship warranty offered by A&F Solutions will be identified in the relevant quotation, invoice or agreement.
46.3 Warranty does not normally cover misuse, deliberate damage, accidental damage, water damage, power surges, third-party alterations, network failures, lack of maintenance, unrelated pre-existing faults or consumable items unless otherwise stated.
46.4 Nothing in this section affects statutory rights.
47. Limitation of Liability
47.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
47.2 In particular, nothing excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
47.3 Where legally permitted, we will not be responsible for losses that are remote, indirect or not reasonably foreseeable as a consequence of our breach.
47.4 Business customers are responsible for appropriate business-continuity, insurance and risk-management arrangements.
47.5 Any project-specific contractual limitation or liability cap must be expressly stated and agreed in writing.
48. Customer Indemnities
48.1 Nothing in these Terms requires a consumer to indemnify us in circumstances where doing so would be unlawful or unfair.
48.2 A business customer may be responsible for loss arising directly from materially inaccurate information, unlawful instructions or unsafe conditions supplied or created by that customer, subject to applicable law.
49. Intellectual Property
49.1 Our website, branding, quotations, drawings, templates, reports and original written materials remain subject to applicable intellectual-property rights.
49.2 Customers may use documents supplied to them for the legitimate operation and management of the relevant property or system.
50. Software, Passwords and Credentials
50.1 Where systems require usernames, passwords, administrator codes or cloud accounts, responsibilities will be agreed according to the system.
50.2 Customers should protect security credentials against unauthorised disclosure.
50.3 We may retain necessary configuration information where lawful and reasonably required for ongoing support.
51. Confidentiality
51.1 We will take reasonable steps to protect confidential customer information obtained during our work.
51.2 Customers should clearly identify particularly sensitive information where appropriate.
52. Personal Data
52.1 Personal information will be processed in accordance with our Privacy Policy and applicable data-protection legislation.
52.2 Customers should avoid providing unnecessary sensitive or special-category information.
53. Cancellation by Business Customers
53.1 Business customers should give reasonable notice of cancellation.
53.2 We may charge reasonable costs actually incurred as a consequence of cancellation, including appropriately committed labour, special-order materials and non-refundable supplier charges.
54. Consumer Cancellation Rights
54.1 Consumers may have statutory cancellation rights where a contract is entered into at a distance or away from our business premises.
54.2 Where such rights apply, the legally required information and cancellation arrangements will be provided.
54.3 Where a consumer expressly requests work to begin during an applicable cancellation period, the consumer may be required to pay for work properly performed before cancellation where the law permits.
54.4 Nothing in these Terms removes any statutory cancellation right.
55. Suspension of Work
55.1 We may reasonably suspend work for circumstances including:
- Non-payment of an agreed deposit.
- Non-payment of a stage payment.
- Unsafe conditions.
- Lack of access.
- Abuse or threats toward personnel.
- Material breach of contract.
- Lack of information necessary to proceed safely.
55.2 Suspension may affect completion dates.
56. Termination
56.1 Either party may terminate an ongoing contract in accordance with any specific contract provisions and applicable law.
56.2 Termination does not remove liability to pay amounts properly due for work already completed, equipment ordered or other lawful committed costs.
57. Complaints
57.1 Customers should notify us promptly if they are dissatisfied with our work.
57.2 We will endeavour to investigate complaints fairly and provide an appropriate response.
57.3 Contact: [email protected] / 07885 733524 (Finley) / 07921 864403 (Dean)
58. Consumer Rights
58.1 Where the customer is a consumer, nothing in these Terms affects mandatory statutory rights.
58.2 Services supplied to consumers must be performed with reasonable care and skill as required by law.
59. Third-Party Rights
59.1 Unless expressly stated otherwise, a person who is not a party to the contract has no right to enforce its terms except where the law provides otherwise.
60. Severability
60.1 If any provision is found unlawful or unenforceable, the remaining provisions will continue to apply so far as legally possible.
61. Waiver
61.1 Failure to exercise a contractual right immediately does not automatically amount to waiver of that right.
62. Entire Agreement
62.1 For business customers, the relevant quotation, agreed specification and these Terms constitute the contractual agreement concerning the work, subject to any expressly agreed amendments.
62.2 Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
63. Changes to These Terms
63.1 We may update these general Terms from time to time.
63.2 Changes published after an existing contract has been formed will not automatically alter that contract.
64. Governing Law
64.1 These Terms are governed by the laws of England and Wales.
64.2 Courts with jurisdiction under applicable law will determine disputes.
